Hailey X. Chen
Hailey Chen is an associate at Yuanda China Law Offices based in Shanghai. Her practice is focused on General Corporate, M&A, JV, Civil and Commercial Litigation. Hailey is experienced in foreign-related investments, M&A transactions, Sino-foreign JV and corporate matters, covering industries such as manufacturing, chemicals, food processing, and auto parts. - Adivsed a Hong Kong-listed auto parts enterprise and globally renowned Canadian auto exterior enterprise on JV project, including the drafting and revision of transaction documents, as well as the submission of declaration of concentration in PRC.
- Advised a domestic food processing company and well-known U.S.-based global agricultural processor and food ingredients supplier on JV project for protein separation, including the paticipation of transaction negotiations, the drafting and revision of the Term Sheet.
- Assisted a major state-owned enterprise in acquiring a controlling stake in a well-known domestic tire manufacturer, including performing due diligence and establishing transaction structure.
- Advised a high-tech company on the acquisition and management of a mineral refining company, including performing due diligence and preparing acquisition and management plans, as well as drafting the relevant transaction documents.
- Assisted a domestic company with the due diligence process for several subsidiaries operating in Ethiopia, as part of its preparation for a listing.
- Assisted mutiple domestic enterprises in the process of establishing overseas subsidiaries in Hong Kong and Singapore, ensuring compliance with local regulations.
- Provided legal counsel to multiple state-owned venture capital enterprises on general corporate matters, including labor and employment disputes, transaction documents review for investment and financing projects, and ensuring operational compliance with relevant regulations.
